Welcome to Party Fry, an event ticketing, venue management, and discovery platform operated by Sataloop Technologies ("Sataloop," "we," "us," or "our"). By accessing or using the Party Fry mobile application, website, or related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not access or use the Platform.

1. Account Registration & Security

1. Eligibility: You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account or purchase tickets on Party Fry.

2. Account Accuracy: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3. Account Security: You are responsible for safeguarding your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

2. Event Ticketing & Purchases

1. Contract of Sale: Party Fry facilitates ticket distribution for event organizers ("Organizers"). When you purchase or reserve a ticket, you are purchasing directly from the Organizer, and Party Fry acts as the technological intermediary.

2. Pricing & Fees: All ticket prices are set by the Organizer. Applicable service fees, processing fees, or taxes will be clearly disclosed at checkout prior to final payment.

3. Ticket Delivery: Upon successful payment or RSVP registration, digital tickets containing unique QR codes will be generated and made accessible within your Party Fry account and sent to your registered email address.

4. Ticket Transferability: Tickets may only be transferred or resold if explicitly permitted by the Organizer through the Platform's built-in transfer tools.

3. Refunds, Cancellations & Rescheduling

1. Organizer Refund Policies: Each event listed on Party Fry operates under an individual Refund Policy established by the Organizer (e.g., Non-Refundable, 7-Day Refund Policy, or Full Refund on Cancellation).

2. Postponed or Cancelled Events: If an event is postponed, rescheduled, or cancelled by the Organizer, the Organizer is solely responsible for determining refund procedures and processing reimbursement through the Platform.

3. Party Fry Role: Party Fry is not liable for financial compensation, travel costs, or ancillary expenses arising from event cancellations or modifications made by Organizers.

4. Organizer Responsibilities

1. Event Content: Organizers represent and warrant that all event titles, descriptions, imagery, and promotional materials comply with applicable laws and do not infringe on third-party intellectual property or privacy rights.

2. Gate Access & Scanning: Organizers are responsible for managing entry gates, validating QR codes via the Platform’s scanning tools, and upholding venue capacity safety limits.

3. Payouts & Fees: Payout settlements are subject to Party Fry's platform fee deductions, verification of successful event execution, and compliance with anti-fraud guidelines.

5. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or to facilitate unauthorized secondary ticket scalping.

• Modify, reverse engineer, or attempt to extract source code from the Platform.

• Introduce viruses, malware, or automated scraping bots to the Platform.

• Interfere with or disrupt the integrity or performance of the Platform or its underlying infrastructure.

6. Intellectual Property

All content, branding, trademarks, logos, system UI designs, software code, and platform elements associated with Party Fry are the exclusive property of Sataloop Technologies or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform strictly for personal or internal event management purposes.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Sataloop Technologies and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform or attendance at any event listed on the Platform.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Platform shall be instituted exclusively in the competent courts located in Accra, Ghana.

9. Changes to Terms

Sataloop Technologies reserves the right to modify or update these Terms at any time. We will notify you of any material changes by updating the "Last Updated" date at the top of these Terms or via email notification. Your continued use of the Platform following any modifications constitutes acceptance of those changes.
